What authority does the Board have ?

The Board manages the Association’s administrative and organizational responsibilities. It follows the governing documents, oversees finances, and makes decisions at noticed meetings. The Board also uses California HOA best‑practice standards, including Davis–Stirling procedures, even though the Association is not a Common Interest Development (CID).
How are Board members elected ?

The Board’s authority comes from the CC&Rs, Bylaws, and applicable state laws. The Board manages the Association’s administrative, financial, and governance responsibilities but does not have authority beyond what the governing documents allow.
Board members are elected by the owners during the Annual Meeting. Elections follow the procedures in the bylaws, including notice and ballot requirements. The Board also follows Davis–Stirling election guidelines as a best‑practice model.
What decisions require a vote of the owners ?

Decisions that change the governing documents or affect owner rights require owner approval. Routine administrative decisions are made by the Board at noticed meetings, as outlined in the bylaws.
Can the Board make decisions outside a meeting ?

No. The Board makes decisions only at properly noticed meetings, except in very limited situations allowed by the bylaws. Email discussions are not meetings.

Bylaws define the rules and procedures for how an HOA conducts its business. CC&Rs establish the rules that govern how property may be used and what conditions must be maintained within the association.
